Data Processing Agreement (DPA)

This document is a template for enterprise B2B clients. A fully countersigned copy is available on request for corporate plans.

1. Subject matter

The Processor processes personal data on behalf of the Controller as part of delivering VYUD AI products (Frontline, LMS, Hire, CRM, Publisher, Sales). This DPA supplements the Terms of Use.

2. Categories of data and data subjects

• Categories of subjects: Controller's staff, job candidates, Controller's customers.
• Categories of data: name, contact details, role, training responses, interaction history.
• Special categories: not expected. If the Controller uploads special-category data, the Controller is responsible for the lawful basis.

3. Processor obligations

• Process data only on the Controller's documented instructions.
• Ensure confidentiality of persons with access to the data.
• Apply technical and organisational measures (encryption at rest and in transit, access controls, logging).
• Notify the Controller of a security incident within 72 hours.
• Assist the Controller with data-subject requests.
• Delete or return data at the end of the engagement at the Controller's choice.

4. Sub-processors

The Processor uses the sub-processors listed in the Privacy Policy (Cloudflare, Plausible, Telegram, Vercel). The Controller gives general consent to their engagement; changes or additions are notified in advance.

5. International transfers

Transfers outside the EU/EEA rely on the EU Standard Contractual Clauses (SCCs).

6. Audit

Once every 12 months the Controller may request a report on the security measures in place. On a substantiated request — an independent audit at the Controller's cost.

7. Term and termination

This DPA runs for the duration of the services. On termination, data is deleted or returned within 30 days.
